Introduction
Tremont & Grand, LLC ("Tremont & Grand", "we", "us", or "our") provides international IT services and AI software products (the "Services") to its customers ("Customer", "you", or "your") through its website(s) and other platforms. These Terms of Service ("Agreement") govern your use of the Services.
Acceptance of Terms
By using the Products/Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to the terms and conditions of this Agreement, you may not use the Products/Services.
Definitions
- "AI Software Products" means any software, algorithms, or models developed or provided by Tremont & Grand.
- "IT Services" means any consulting, implementation, training, or support services provided by Tremont & Grand.
- "Customer Data" means any data, information, or content provided by you to Tremont & Grand in connection with the Services.
Use of Services
- You must use the Services in compliance with all applicable laws and regulations.
- You must not use the Services to infringe the intellectual property rights or other rights of any third party.
- You must not use the Services to transmit or store any data or content that is unlawful, threatening, or obscene.
Intellectual Property Rights
- Tremont & Grand retains all right, title, and interest in and to the AI Software Products, IT Services, and all related intellectual property rights.
- You acknowledge that the Services are protected by copyright, trademark, and other intellectual property laws.
Customer Data
- You grant Tremont & Grand a non-exclusive, worldwide license to use, reproduce, and process the Customer Data solely for the purpose of providing the Services.
- You represent and warrant that you have the necessary rights and permissions to provide the Customer Data to Tremont & Grand.
Payment Terms
- You agree to pay all fees and charges associated with the Services, as set forth in the applicable order form or agreement.
- Payment terms are net 30 days from the date of invoice.
Warranty Disclaimer
- The Services are provided "as is" and "as available" without warranty of any kind.
- Tremont & Grand disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non infringement.
Limitation of Liability
- In no event will Tremont & Grand be liable for any indirect, special, incidental, or consequential damages arising out of or related to the Services.
- Tremont & Grand's liability for damages will be limited to the amount of fees paid by you to Tremont & Grand for the Services.
Indemnification
You agree to indemnify and hold harmless Tremont & Grand, its affiliates, officers, directors, employees, and agents from and against any claims, demands, or causes of action arising out of or related to your use of the Services.
Termination
- This Agreement may be terminated by either party upon written notice to the other party.
- Upon termination, you must immediately cease using the Services and pay all outstanding fees and charges.
Governing Law
This Agreement will be governed by and construed in accordance with the laws of the state of Delaware, USA, without giving effect to any principles of conflicts of law.
Dispute Resolution
Any disputes arising out of or related to this Agreement will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Changes to Agreement
- Tremont & Grand reserves the right to modify or update this Agreement at any time without prior notice.
- Your continued use of the Services will be deemed acceptance of any changes to this Agreement.
